Our total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you to nexuno for services during the twelve (12) months preceding the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless nexuno, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in the relevant service agreement. nexuno reserves the right to suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms or engage in any conduct that we determine to be inappropriate or harmful.

Upon termination, all rights and obligations under these Terms shall cease, except for those provisions that by their nature should survive termination, including but not limited to intellectual property rights, limitation of liability, and governing law provisions.

Termination of services does not relieve you of any obligations to pay fees or charges incurred prior to termination.

Force Majeure

nexuno shall not be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

Entire Agreement

These Terms, together with our Privacy Policy and any additional service agreements, constitute the entire agreement between you and nexuno regarding your use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
